1. General Overview

Welcome to UMS (Uzina Motorike Spahiu). By accessing our platform, purchasing a Founders Circle pass, or submitting a SAFE Investment intent, you agree to comply with the following legal terms and conditions.

2. Founders Circle Tiers (€150 – €2,500)

• ●Non-Equity Participation: Founders Circle tiers represent perk-based crowdfunding allocations and merchandise pre-orders to support prototype R&D. Purchase of a Founders Circle pass does NOT constitute an investment, debt instrument, or equity ownership in UMS, nor does it confer voting rights or financial returns.
• ●Perks & Merch: Contributions made via the Founders Circle are direct allocations toward the research, development, and prototype phase of the UMS Apex. Merchandise (caps, jackets, cards) will be delivered to the shipping address provided in your user dashboard.
• ●Track Day & Test Drives (Tier 4): Track day access and test drive experiences are subject to safety releases, valid driver licensing, and prototype testing schedules. Slots are strictly limited to 50 non-transferable passes.
• ●Vehicle Purchase Discount: Priority allocation discounts (e.g., €3,000 credit) apply solely toward the final purchase price of a production UMS Apex vehicle.

3. SAFE Investment Pledges (€2,500+)

• ●Non-Binding Intent: Submitting a SAFE pledge intent registers your reservation under our seed financing allocation.
• ●DocuSign Execution: SAFE pledges are non-binding expressions of interest. Execution of official Y Combinator-based SAFE contracts will take place exclusively following the formal legal incorporation of Uzina Motorike Spahiu (Sh.p.k.) and regulatory clearance.
• ●Valuation Cap & Discount: All early SAFE agreements are granted a fixed €5,000,000 Valuation Cap and a 20% Discount on future qualified equity financing rounds.

4. Refund & Cancellation Policy

• ●Founders Circle payments are non-refundable once physical merchandise processing or prototype name engraving has commenced.
• ●SAFE Pledges may be withdrawn prior to contract execution without penalty.

5. Privacy Policy

UMS collects personal data (name, email, phone, shipping address) solely for the purpose of processing your Founders Circle purchase or SAFE investment pledge. We do not sell or share your data with third parties except as required by law or as necessary to fulfill your order (e.g., shipping providers, e-signature platforms). You may request data deletion at any time by contacting us at invest@ums.al.

6. Investor Disclaimers

Investing in early-stage companies involves significant risk, including the potential loss of your entire investment. UMS is an early-stage venture currently completing official corporate registration. SAFE expressions of interest do not constitute a public offering of securities. All investment commitments remain conditional upon final corporate registration and countersigned documentation. SAFE agreements do not constitute equity ownership until a qualifying equity financing event occurs. Past performance is not indicative of future results.
